PLAYERWISE™—TERMS OF USE

These are the rules for using PlayerWISE™. If you are under 18 years old, we have explained these rules in red bullet points in each section. If you do not understand these rules, please talk to a trusted adult.

These Terms of Use (Terms) apply to all interactions which you (the person using the PlayerWISE™ services and products) have with Synergine Group Limited (PlayerWISE™, we or us) including, without limitation, the provision of all services and products by PlayerWISE™ to you (including the use of the PlayerWISE™ website, app and other platforms, chat functions and community forums). The Terms also apply to all PlayerWISE™ events, challenges, competitions and programmes, whether online or offline.

IMPORTANT: These Terms form the legal agreement between you and PlayerWISE™ so it is important that you read these carefully and understand them.

By using the PlayerWISE™ services and products you are agreeing to these Terms and are legally bound by them. If you do not agree to the Terms then you cannot use the PlayerWISE™ products and services.

We also refer you to the PlayerWISE™ Privacy Policy which form part of these Terms and contains information on the way in which your personal data is collected, processed, used and stored by PlayerWISE™, and which forms part of these Terms.

These are the rules for using PlayerWISE™.
When you use PlayerWISE™ you are agreeing to these rules.
These rules also explain the way that PlayerWISE™ collects and uses personal information about you.
If you do not understand these rules, please talk to a trusted adult before you use PlayerWISE™.
If you do not agree with these rules, please do not use PlayerWISE™.

REGISTRATION.

You must be 18 years of age or older to register for a PlayerWISE™ account.

By registering for a PlayerWISE™ account you are confirming to us that you are:

18 years of age or over, OR, if registering an account for someone less than 18 years of age, the parent or guardian of that person; and
Providing us with true, accurate and complete information; and
Not barred from receiving services or products under the laws of New Zealand, the United Kingdom or any other applicable jurisdiction.

If you are under 18 years of age:

You need your parent or guardian to agree to these Terms (we will ask for their consent via a verification process, which may involve them providing information to confirm their identity and that they are your parent or guardian) and consent to your personal data being collected and processed as set out in our Privacy Policy.
You will also need to consent to your personal data being collected and processed as set out in our Privacy Policy if you are 13 years of age or older.
It is up to your parent or guardian to ensure that the PlayerWISE™ services and products are appropriate for you.

If you are younger than 18 years old you will need a parent or guardian to help you to set up your PlayerWISE™ account.
You need to make sure that you give PlayerWISE™ information which is true.
Consent is needed to collect your personal data when you register to use PlayerWISE™.

YOUR ACCOUNT.

As part of the registration process you will need to set up a PlayerWISE™ account and create a username and password for your account. Please keep your username and password confidential. This is important as you will be responsible for any activity which occurs on your account.

If at any time you become aware of a security breach of your account, or unauthorised use or access to your account, please contact us immediately by using the “Contact Support” button on the PlayerWISE app or by emailing us at support@playerwise.com. To the extent permitted by law, PlayerWISE™ will not be liable for any loss or damage which arises from any security breach relating to or misuse of your account.

You will need to select the type of account you are setting up – Player or Coach.

Parent and guardians have access to and can manage their child’s PlayerWISE™ account settings (including privacy settings) through their child’s PlayerWISE™ account. We recommend children and parents review and adjust these settings together.

When you set up a PlayerWISE™ account you will have a user name and password. Please keep these somewhere safe and don’t share them with other people.
If you are younger 18 years old, your parent or guardian will also have your user name and password and will have access to your account.
If you are worried about your account, please use the “Contact Support” button in the PlayerWISE™ app to tell us why you are worried.

YOUR SUBSCRIPTION AND SUBSCRIPTION FEES.

To use the PlayerWISE™ services and products you will need a subscription. The subscription fees payable for PlayerWISE™ subscription are shown when you select the subscription you would like at the checkout.

We may update the subscription fees from time to time with notice of this update sent to you through the PlayerWISE™ app or to your email address. If you do not agree with the update to the subscription fees then you may cancel your subscription without penalty.

The subscription fees will be payable to PlayerWISE™ in advance. The credit card which you provide to our payment provider (Stripe, Apple, Google) on registration will be billed for these subscription fees. If you are not the credit card holder then the credit card holder must provide these details to us.

It is important that you keep all billing information up to date. Where billing information or credit card details are provided which are incorrect, false or fraudulent, PlayerWISE™ may terminate the provision of services and products to you. In addition, PlayerWISE™ may have other legal remedies against you.

Subscription fees are payable in local currency (i.e. Pounds Sterling in the United Kingdom, US dollars in the United States of America, New Zealand dollars in New Zealand, etc.) and exclude all taxes, levies or duties unless otherwise stated. PlayerWISE™ will not be liable for any charges or expenses to you where your credit card is declined or overdrawn.

If you have an issue with any subscription fee then you must advise PlayerWISE™ within twenty (20) working days of the date the subscription fee was charged, by using the “Contact Support” button on the PlayerWISE™ app or by emailing us at support@playerwise.com. Any issues raised after this date will not be considered by PlayerWISE™ except as required by law.

You need to pay a subscription fee when you use PlayerWISE™.
If you are younger than 18 years old you will need a parent or guardian to pay the subscription fee using their credit card.
Please use the “Contact Support” button to ask us any questions about your subscription fee.

USE OF PLAYERWISE™ SERVICES AND PRODUCTS.

Once you are registered and have paid the subscription fee, you have the right to use the PlayerWISE™ services and products (based on your subscription type) until you stop paying the subscription fee or your registration and/or subscription is terminated or suspended in accordance with these Terms.

Access to the PlayerWISE™ services and products may require you to obtain and pay for third party services such as Wi-Fi access. These costs are your responsibility, as is any equipment which is required in order to utilise the PlayerWISE™ services and the products.

Once you have an account and have paid the subscription fee you can use PlayerWISE™.
If you stop paying the subscription fee, you will not be able to use PlayerWISE™.
If you break these rules, you will not be able to use PlayerWISE™.

YOUR INFORMATION.

If the information which you have provided to us when you register (or at any other time in the future while you are a registered member) changes then you must update it as soon as possible. You can do this through your account on the PlayerWISE™ app, using the Personal profile details page. Any changes to your payment and billing information should be made through the paywall provider you are using (Stripe, Apple or Google).

If any information which you have given to PlayerWISE™ changes, please update this information using your account on the PlayerWISE™ app.
If you are unsure about updating your information, please talk to a trusted adult before you do this.

TERMINATION.

PlayerWISE™ reserves the right to suspend or terminate your PlayerWISE™ registration, account and/or subscription, and to refuse to provide you with any PlayerWISE™ service or product, on written notice at any time acting reasonably, including but not limited to where you breach these Terms (including our Community Standards) or where you behave in a way which may or does cause harm to others in the PlayerWISE™ community. PlayerWISE™ will not be liable to you for any loss suffered due to termination or suspension of your registration, account, subscription and/or any service or product where this is because you have breached the Terms or is because of something you have done or have not done.

PlayerWISE™ can close your PlayerWISE™ account and stop you from using PlayerWISE™.
Some examples of when this might happen are if you break these rules, or if you treat other Players or Coaches in a way that hurts or harms them.

CANCELLATION OF SUBSCRIPTION.

You can cancel your subscription at any time by using the Subscription page on the PlayerWISE™ app or by using the “Contact Support” button on the PlayerWISE™ app or emailing us at support@playerwise.com.

If you cancel your subscription:

You will not receive a refund of any subscription fee already paid to PlayerWISE™;
You will have access to the PlayerWISE™ services and products (for your subscription level) for the rest of the current subscription period;
Your access to the PlayerWISE™ services and products will stop at the end of the current subscription period;
You will not be charged for any further subscription fees after you have cancelled.

You can close your account by using the “Contact Support” button on the PlayerWISE™ app or by emailing us at support@playerwise.com When you close your account we will ensure that your personal data is erased (except to the extent that we are required to keep any of your personal data at law).

If you would like to stop using PlayerWISE™ at any time or if you would like to close your PlayerWISE™ account, please use the “Contact Support” button in your PlayerWISE™ app and let us know how we can help. You can also send us an email at support@playerwise.com if you prefer to do this.

COMMUNITY STANDARDS.

PlayerWISE™ is intended to be a positive and uplifting way to connect with other football players and community members.

At no time will the following behaviour or content be tolerated from users of the PlayerWISE™ services and products:

Abusive or threatening content or behaviour;
Antisocial content or behaviour, including trolling;
Harassment of any kind;
Discriminatory content or behaviour;
Defamatory content or behaviour;
Obscene, offensive or hateful content or behaviour;
Violent or threatening content or behaviour;
Pornographic or sexually explicit content or behaviour;
Illegal content or behaviour or content or behaviour which encourages or condones illegal content or behaviour;
Content which infringes intellectual property rights of third parties;
Content or behaviour which infringes privacy rights and confidentiality rights of third parties;
Content which is uploaded or sent from an anonymous or false address;
Commercial content (for example, selling products or services, asking for donations, etc.);
Harmful content, such as content which includes viruses, worms, Trojan horses, malicious code, malware or similar.

You agree that PlayerWISE™ can access your account and any information in or related to your account where required (and to the extent required):

By law;
To enforce these Terms, including the Community Standards set out above;
To provide you with the PlayerWISE™ services and products;
To protect the rights and safety of other users, PlayerWISE™ and its staff, and the general public.

If you breach the Community Standards:

PlayerWISE™ may remove any content at its sole discretion which breaches the Community Standards.
PlayerWISE™ in its sole discretion may suspend or terminate your subscription and/or account.
You agree to indemnify and hold PlayerWISE™ harmless for any violation of the Community Standards.

PlayerWISE will meet its obligations at law with respect to the monitoring and removal of any illegal or harmful content. PlayerWISE has no liability whatsoever for any content which a member uploads except as provided at law.

While PlayerWISE™ will use reasonable commercial endeavours to ensure that other users also observe the Community Standards and these Terms, PlayerWISE™ will not be liable for any harm or injury to you by other users not observing the Community Standards or these Terms.

The Players and Coaches on PlayerWISE™ are here to be kind to each other and to help each other become the best football player they can be!
Please treat Players and Coaches in a way that you would like to be treated.
If you are unkind to other Players or Coaches, or if you do things which hurt the PlayerWISE™ community, PlayerWISE™ may stop you from using PlayerWISE™.

INTELLECTUAL PROPERTY.

PlayerWISE™ owns and keeps all rights, title and interest in and to all intellectual property relating to PlayerWISE™, its services, products, website, app and other platforms, manuals, handouts, and materials used at events, competitions and challenges including, but not limited to, all copyright, trade marks, trade names, trade secrets, know-how, get up, patents, designs and all other intellectual and industrial property rights.

You must not use any of the PlayerWISE™ intellectual property rights except as expressly allowed under these Terms. In particular you will not modify any services or products, create derivative works from the services or products, reverse engineer, reverse compile or reverse assemble any of the services or products, and you will take no action to reveal any source code, trade secrets, know-how or proprietary information. You also agree that you will not use any robot, spider or any other application or device to retrieve all or any part of the PlayerWISE™ services or products.

Where you own the intellectual property rights in any content which you upload or make available when using the PlayerWISE™ services or products remains your property. However, in submitting the content you are granting to PlayerWISE™ a non-exclusive, perpetual, irrevocable, worldwide, fully paid, transferrable right and licence to use and sub-licence through multiple levels of sub-licensees all of your intellectual property rights in that content including to:

Reproduce, create derivative works of, distribute, publicly perform, publicly display, digitally transmit and otherwise use your content in any medium or format which is available now or in the future;
Exercise any and all other present or future rights in your content.

In uploading your content you are warranting to PlayerWISE™ that you own all of your content which you upload or that you have the written permission of the actual copyright owner to upload the content. You further warrant that all moral rights in any of the content have been waived. You agree to indemnify and pay any loss to PlayerWISE™ because what you say in this clause is not correct.

You are solely responsible for any intellectual property right infringements which occur from or through your account and you indemnify and will pay any loss to PlayerWISE™ if infringement do occur from your account.

TRADE MARKS.

PlayerWISE™ is the owner of all trade marks, whether registered or unregistered, in respect of the PlayerWISE™ services and products including, without limitation, the PlayerWISE™ word mark, the PlayerWISE™ combination mark and the PlayerWISE™ logo. Nothing in these Terms allows any person to use, sub-licence or otherwise deal with any trade mark of PlayerWISE™ or any third party.

Except as otherwise stated in these Terms, PlayerWISE™ is the owner of all copyright and database rights in the PlayerWISE™ services and the products. Nothing in these Terms allows you to copy, publish, distribute, extract, re-use or reproduce any copyright or database rights in the PlayerWISE™ services or the products in any medium or by any means except as expressly provided.

LICENCE.

Subject to completing registration and the payment of subscription fees, PlayerWISE™ grants to you a personal, limited, revocable, non-exclusive and non-transferrable licence to use the PlayerWISE™ services and the products based on your subscription type. This licence can only be used by you. You cannot let other people use your licence and you cannot transfer or sub-licence the licence to other users.

Nothing in the licence allows you to do anything with the source code, services or products except as set out in these Terms.

You cannot use the PlayerWISE™ services or the products after your subscription has terminated, expired or otherwise come to an end.

PlayerWISE™ has worked very hard to make PlayerWISE™ for Players and Coaches to enjoy.
PlayerWISE™ owns everything including all of the ideas which make PlayerWISE™ work - but is letting you use PlayerWISE™ as set out in these rules.

IMPORTANT – LIMITATION OF LIABILITY.

To the fullest extent allowed by the law of the place in which you live and the exclusion at the end of this clause, the PlayerWISE™ services and products are provided to you on an “as is and as available” basis and without warranties of any kind, either express or implied, including, but not limited to, implied warranties or warranties in respect of merchantability, fitness for a particular purpose, non-infringement, freedom from interruption, availability or accessibility, timeliness, security of services and products, error free, and freedom from viruses, malware and other harmful components.

You specifically acknowledge that down-time, computer viruses, malware and other harmful components are risks inherent in the use of the internet and software products, and you agree to assume responsibility for any harm or damages of any kind or character whatsoever resulting from these possible harms. PlayerWISE™ will not be liable for any communications or applications between players and talent scouts, clubs, preparatory schools, or colleges not being received due to any circumstance including, without limitation, spam filters or similar.

PlayerWISE™ gives no warranty regarding any products or services (including software), or the delivery of any products or services, purchased, accessed, obtained or advertised through the PlayerWISE™ sites.

No information or advice given by PlayerWISE™, its employees or affiliates will create a warranty.

Without limiting any other provision of these Terms and to the fullest extent allowed by applicable law, you agree that:

You use the PlayerWISE™ services and/or products at your sole risk;
PlayerWISE™ shall not be liable in any way whatsoever for any indirect, incidental, special or consequential damages, even if PlayerWISE™ has been advised of the possibility of such damages;
If PlayerWISE™ is found liable to you under these Terms or otherwise your sole and exclusive remedy is:
- To discontinue using the PlayerWISE™ services and/or products; and
- The total liability of PlayerWISE™ to you for any claim arising from or relating to these Terms or your use of the PlayerWISE™ services and/or products shall not exceed the amount paid by you for the services or products over the twelve (12) month period prior to the claim in question arising.

Some jurisdictions do not allow the limitation or exclusion of certain warranties, guarantees or other rights so some of the above limitations may not apply to you. If you live in one of those jurisdictions, the warranties, guarantees and other rights which can’t be limited or excluded will still apply and PlayerWISE™ will meet its obligations under any applicable law. Our liability for breach of a warranty, guarantee or right which cannot be excluded or limited is either replacing or paying the cost of replacing the relevant PlayerWISE™ service or product (unless the law says otherwise).

It is the intention of both you and PlayerWISE™ that this limitation of liability clause is construed by a court as being the broadest limitation of liability consistent with applicable law.

PlayerWISE™ is not making any promises to you about the PlayerWISE™ app or any of the things PlayerWISE™ provides to you, unless you live in a place where PlayerWISE™ has to give those promises.
You need to be careful when using computers and other devices, software products, and the internet. You should talk to a trusted adult if you are worried about anything or if you have any questions.

IMPORTANT – INDEMNITY.

To the fullest extent allowed by applicable law, you indemnify PlayerWISE™ against all losses, costs (including legal costs), expenses, demands or liability that we incur arising out of, or in connection with:

A breach by you of these Terms (including the Privacy Policy and the Community Standards);
Any action or inaction by you in respect of the PlayerWISE services and products or these Terms;
A third-party claim against PlayerWISE™ relating to your use of PlayerWISE™ services or products except to the extent that PlayerWISE™ are at fault.

If you break these rules or do something (or don’t do something) which hurts PlayerWISE™ or others, then your parent or guardian may need to pay money to PlayerWISE™.

IMPORTANT - RELEASE AND WAIVER.

You wish to use the PlayerWISE™ services and products including, without limitation, the PlayerWISE™ training programmes, events, competitions and challenges, whether online or off-line (in this section, PlayerWISE™ Services).

In return for being able to use the PlayerWISE™ Services, you confirm that you have the ability, both physically and mentally, to participate fully in the PlayerWISE™ Services. You understand that participation in the PlayerWISE™ Services involves inherent risks and dangers including accident, injury, or death. Before using the PlayerWISE™ services and/or products you are encouraged to have a health check with your doctor. If you feel unwell at any time while using the PlayerWISE™ services and/or products you should stop using them immediately and see a doctor.

To the fullest extent allowed by applicable law, PlayerWISE™ will have no liability to any user of the PlayerWISE™ services and/or products for any health and safety matters. Each user is responsible for ensuring that it meets all of its obligations under any applicable health and safety legislation in the jurisdiction where the user is based. This includes all Clubs, Teams and Coaches ensuring that all obligations are met when hosting or providing in person events, challenges, competitions and programmes, whether online or offline.

To the fullest extent allowed by applicable law, you fully release PlayerWISE™ from any and all claims and any other liability directly or indirectly arising out of or in connection with your participation in the PlayerWISE™ Services, including any liability which is due to the negligence, action or inaction of PlayerWISE™.

If any aspect of this Release and Waiver is held to be invalid or unenforceable, all other aspects shall continue in full force and effect. This Release and Waiver replaces any oral or written statements made by you or PlayerWISE™ but does not limit any other provision of these Terms.

By agreeing to these Terms you are agreeing that you have read this Release and Waiver, and you understand its content, and voluntarily agree to its terms.

You need to be very careful when you use PlayerWISE™.
If you hurt yourself or don’t feel well at any time when you are using PlayerWISE™, you need to stop using PlayerWISE™ straight away and tell a trusted adult how you feel.

CHANGES TO TERMS.

PlayerWISE™ may change these Terms from time to time. Where PlayerWISE™ considers (in our reasonable discretion) that the changes are material then we will use reasonable endeavours to notify you either through the website, the app or via email. We will endeavour to give you 60 days’ notice of these changes (unless the circumstances require us to make the changes sooner). Where PlayerWISE™ considers (in our reasonable discretion) that the changes are not material then we may not notify you. If you continue to use the PlayerWISE™ services and products you will have been deemed to have accepted the changes. If you disagree with any changes then you may terminate your subscription.

The latest version of our Terms will be available on the PlayerWISE™ website and app. The date of the version of the Terms is at the end of the Terms.

Sometimes these rules will change.
If the changes are important changes, PlayerWISE™ will tell you about them through the PlayerWISE™ app or by email (and if you are younger than 18, PlayerWISE™ will also email your parent or guardian).
If you do not understand the changes then you should talk to a trusted adult before you keep using PlayerWISE™.
If you do not agree to the changes, you should stop using PlayerWISE™.

GENERAL.

Where these Terms conflict with any other PlayerWISE™ materials these Terms will apply.

If any provision of these Terms is found to be unenforceable then that particular provision will not apply but the rest of the Terms will continue to apply.

Neither PlayerWISE™ nor you will be responsible for any failure or delay in performance of obligations under these Terms where the failure or delay by that party is because of an unforeseeable event or circumstance beyond that party’s reasonable control.

The failure or delay by either PlayerWISE™ or you to exercise any power or right given to us or to you by these Terms does not operate as a waiver of that power or right, nor does any single exercise of any power or right stop the further exercise of it or any other power or right under these Terms.

These Terms (including the Privacy Policy) are the whole agreement between PlayerWISE™ and you.

PlayerWISE™ may assign its rights and interests under these Terms. You may not assign your rights and interest under these Terms.

Any notice you send to PlayerWISE™ must be sent by using the “Contact Support” button in the PlayerWISE app or by emailing us at support@playerwise.com. Any notices we send to you will be sent to you through the PlayerWISE™ app or to the email address linked to your account. Where you are less than 18 years old, the notice will also be sent to your parent or guardian.

You must not use PlayerWISE™ services or products in violation of any export or trade embargo laws that apply to you.
You confirm that you are not located in a sanctioned country and are not on a sanctioned persons list. PlayerWISE™ reserves the right to block users located in a sanctioned country, who are on a sanctioned person list, or who are from a country from which PlayerWISE™ is unable to receive payments, without notice.

The United Nations Convention on Contracts for the Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) do not apply to these Terms.

In the event of a disagreement or dispute which cannot be resolved by good faith discussions between you and PlayerWISE™, you and PlayerWISE™ agree to resolve the dispute through binding arbitration in New Zealand or the Disputes Tribunal in New Zealand, instead of in courts of general jurisdiction. You and PlayerWISE™ agree that any dispute must be brought in the parties’ individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

The laws of New Zealand apply to these Terms and, subject to the above clause, the parties agree that the New Zealand courts have non-exclusive jurisdiction over any dispute which may arise.
